Eric Spomer

Eric Spomer is the President and CEO of EnergySource Minerals, LLC. With over 33 years of experience in project development, project finance, and management, Spomer is an expert in identifying and developing projects in the energy industry. Over the past 15 years, he has led renewable energy project development teams, including in lithium extraction, geothermal, biomass and landfill gas fuels.

Clif represents energy companies and investors in middle-market transactional matters, including the acquisition and divestiture of assets and the negotiation and preparation of foundational and project-level agreements. Drawing upon an expertise in oil and gas property and title issues, he regularly counsels on operational matters and disputes, working with clients ranging from exploration and production companies to individual landowners.

With many energy clients embracing new opportunities, he has advised on a variety of transitional projects, including lithium exploration, geothermal concepts, carbon mitigation, and solar development.

Carrie Hoffman represents and counsels major employers nationwide in all areas of labor and employment law across a wide range of industries, including retail and hospitality. She serves as chair of Foley’s Labor & Employment Practice Group, and is highly regarded for her experience with wage and hour issues as well as employment discrimination and retaliation claims. She regularly reviews and drafts employment agreements — such as covenants not to compete — and advises clients on a wide variety of labor and employment issues such as:

Mark A. Doré is senior counsel in the Lafayette, Louisiana office of Kean Miller. He is a leading energy industry legal advisor who represents a variety of energy companies in oil and gas transactional matters, mineral title examination, due diligence, acquisition and sale of oil and gas properties, and regulatory compliance. Mark also advises on the complex legalities associated with carbon capture, transportation, and storage initiatives, among other renewable energy projects, where he regularly works with clients to advise on existing market participation or facilitate their entry into this market. He is heavily involved in drafting, negotiating, and advising on transactions involving the negotiation/acquisition of land use agreements, expropriation issues, midstream agreements, and regulatory matters across all stages of the project life cycle. Mark most recently served on the Louisiana Senate Task Force on Local Impacts of Carbon Capture and Sequestration.

Thomas Ciarlone is a partner in the Houston office of Kane Russell Coleman Logan.  He co-chairs KRCL’s Energy, Oil & Gas Practice Group and sits on the firm’s board of directors. Tom has been a trial lawyer for over twenty years, and his practice focuses on the representation of operators and non-operators in complex contract disputes in the oil patch, principally including high-stakes litigation with large institutional landowners suing for violations of mineral leases.

Jason Schumacher

Jason Schumacher represents clients in the energy and oil and gas sectors on mergers, stock and asset acquisitions, and divestitures. He advises on project development and joint development matters, day-to-day operational affairs, litigation and dispute resolution, and financing arrangements, including commercial midstream agreements and specialty energy financing, involving volumetric production payments, prepayments, net profits interests, overriding royalty interest, securitizations and Drillco structures. Jason has closed over US$10 billion of transactions and projects.

Prior to joining O’Melveny, Jason was a partner at an international, full-service law firm, where he co-chaired its Energy Practice Group.
