This presentation will review a variety of agreements that landmen might encounter in the course of an asset sale between two companies, including the definitive sales agreement, confidentiality agreements, letters of intent, conveyance documents (including deeds, assignments, subleases, and bills of sale), financing agreements (including promissory notes, mortgages, deeds of trust, financing statements, and pledge agreements), operational agreements, employment agreements, and side letter agreements. In the course of this presentation, we will discuss the purpose of each agreement, important distinctions between them, and identify risks and challenges that landmen face when they encounter them.
