The Devil Is in the Details: Avoiding Common Pitfalls in the Drafting and Negotiation of Purchase and Sale Agreements

The intention of this webinar is to identify problems frequently encountered in the drafting and negotiation of purchase and sale agreements for oil and gas assets and provide guidance on how such problems might be avoided—including, where applicable, specific drafting suggestions.  In so doing, it will be necessary as a preliminary matter to describe the various components of a standard PSA (title defect provisions, warranties, indemnities, etc.) and how they relate into each other to form a conceptual whole, as well as to describe what terms, language, etc. buyers and sellers (from their respective bargaining positions) want to have included or excluded from the agreement.
